NEW YORK, April 29, 2024 (GLOBE NEWSWIRE) — Bragar Eagel & Squire, PC, a nationally recognized shareholder rights law firm, announces that it has filed a class action lawsuit against Exscientia plc. (Exscientia or the Company) (Nasdaq: EXAI) in the U.S. District Court for the District of New Jersey on behalf of all persons and entities that purchased or otherwise acquired Exscientia securities between March 23, 2022, and February 12, 2024 File a lawsuit. Exscientia is a pharmaceutical technology company powered by artificial intelligence (“AI”) that designs and develops differentiated medicines for diseases with unmet patient needs.

At all relevant times, the company claimed to “maintain[] “The highest standards of business conduct and ethics” and to this end adopted a Code of Business Conduct and Ethics applicable to all employees, officers and directors, including former Chief Executive Officer (“CEO”) and Director Defendant Andrew Hopkins ( Andrew Hopkins (“Hopkins”), defendant David Nickerson (“Nickerson”), the former chairman of the Company's board of directors (the “Board”), and all other senior officers and executives.

The complaint alleges that throughout the Class Period, defendants made materially false and misleading statements about the company’s business, operations, and prospects. Specifically, Defendants made false and/or misleading statements and/or failed to disclose that: (i) Defendant Hopkins had inappropriate relationships with employees that were inconsistent with the Company's standards and values; (ii) Defendant Ni Colson had prior knowledge of Defendant Hopkins' relationship and improperly addressed Hopkins' misconduct without consulting the Committee; (iii) the Company's maintenance and enforcement of its Code of Business Conduct and Ethics was insufficient to prevent the conduct described above; (iv) the failures described above exposed the Company to a greater risk of a disruptive leadership transition and/or reputational damage; (v) as a result, Defendants’ public statements were materially false and/or misleading at all relevant times.

On February 13, 2024, Exscientia issued a press release “announced[ing] Its board of directors (the “Board”) has decided to terminate the employment [Defendant] Hopkins as a company [CEO] and Chief Executive Officer, and to remove Dr. Hopkins from his duties as Executive Director of the Board of Directors, in each case with cause and with immediate effect. Established relationships with two employees whom the Board deemed inappropriate and inconsistent with company standards and values.[Defendant] Nicholson [. . .] had prior knowledge of the existence of Dr. Hopkins' earlier relationship and handled the situation directly, with the involvement of other outside consultants, rather than in consultation with the Board,” and “[f]Following discussions with the Board of Directors, Dr. Nicholson resigned from the Company on February 12, 2024.

Affected by this news, Exscientia's stock price fell by $1.72 per share, or 22.9%, to close at $5.79 per share on February 13, 2024.
